Terms of Service

Welcome to the products and website of Vaxal Net Co., Ltd. (“Vaxal” or “we”): Ryxis, Ryxis Greenhouse, FormalDoc and vaxal.io (together, the “Service”). These Terms of Service (the “Terms”) form a contract between you and Vaxal. By registering, signing in or using the Service, you confirm that you have read, understood and agree to all of these Terms; if you do not agree, please do not use the Service. These Terms apply together with our Privacy Policy; for how personal data is collected, processed and used, see the Privacy Policy.
1. Eligibility and registration
Using the Service requires registering and signing in with a valid account, and you must provide accurate, complete and up-to-date information. You must meet the minimum age required by the laws of your jurisdiction; minors should use the Service with the consent of a legal guardian.
2. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Service in the manner and scope set out in these Terms. This license does not include any right to resell, sublicense, or provide the Service to third parties.
3. Account and security
Some features require you to sign in with Google or create an account. You must keep your account and credentials secure, must not let others use your account, and are responsible for all activity under your account. If you discover unauthorized use or any security concern, notify us immediately.
4. Acceptable use and prohibited conduct
You agree not to:
(1) violate law or these Terms; (2) infringe others’ intellectual property, privacy, trade secrets or other rights; (3) input another person’s personal data into the Service without their consent; (4) use the Service to generate unlawful, fraudulent, hateful, violent, sexual or otherwise harmful content; (5) upload malware, gain unauthorized access, circumvent security measures, or interfere with the operation of the Service; (6) abuse, reverse-engineer, decompile, or attempt to extract the AI models, algorithms or source code used by the Service; (7) access, scrape or place an undue load on the Service in bulk by automated means; or (8) use the Service’s output in highly regulated contexts such as medical, legal or financial matters without review by an appropriate professional.
5. Your content
You retain the rights to content you create, upload or provide in the Service (“User Content”). You grant us a worldwide right to store, process, reproduce and display your User Content to the extent necessary to provide, operate and improve the Service. You must ensure your User Content is lawful and does not infringe others’ rights.
6. AI features and output
The Service includes features powered by artificial intelligence such as large language models, and may process your input through third-party AI providers; when you use such features you must also comply with the relevant third parties’ terms and policies.
AI output is generated probabilistically and may be inaccurate, incomplete or inappropriate. You should assess and verify it before relying on it, especially for important or regulated purposes.
The law is not settled on ownership of, or copyright protection for, AI output across jurisdictions; we do not warrant that AI output is protectable by copyright or that it does not infringe third-party rights.
7. Intellectual property
The Service and its software, interfaces, trademarks, works and other content belong to Vaxal or its licensors. Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, publicly transmit or otherwise use them without consent.
8. Third-party services
The Service may integrate third-party services such as Google. When you use those services you must also comply with their terms and policies. Third-party services are outside our control, and we are not responsible for them to the extent permitted by law.
9. Subscriptions and fees
The Service offers free and paid plans. The fees, billing cycle and contents of paid plans are as announced on the relevant pages; except where legally required or otherwise stated by us, fees paid are non-refundable. We may adjust fees or plan contents and will announce such changes a reasonable time in advance.
10. Data processing and model training
We collect and process your personal data in accordance with our Privacy Policy. We do not use user data obtained through Google APIs (including YouTube and Google Calendar data) to develop, improve or train generalized artificial intelligence or machine learning models; the handling of other data is described in the Privacy Policy.
11. Changes, suspension and termination
We may add, modify, suspend or discontinue all or part of the Service as needed for operations, technology or law, and will announce this in advance where practicable.
If you breach these Terms or the law, we may restrict, suspend or terminate your access; in serious cases we may do so without prior notice. You may also stop using the Service and delete your account at any time.
After your account is terminated, you may export your User Content within a reasonable period (in principle 30 days), after which we may delete or de-identify it in accordance with our Privacy Policy.
Provisions of these Terms that by their nature should survive termination (such as intellectual property, disclaimer, limitation of liability, indemnification, and governing law and jurisdiction) continue in effect after termination.
12. Disclaimer
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, secure or fully fit for your needs, nor do we warrant the accuracy, completeness or suitability of AI output.
13. Limitation of liability
To the maximum extent permitted by law:
(1) we are not liable for any indirect, incidental, consequential, special or punitive damages (including loss of profits, goodwill or data) arising from your use of or inability to use the Service; and
(2) our total liability shall not exceed the total fees you actually paid to us for the Service in the twelve months preceding the event giving rise to the claim; if you have never paid, it is capped at NT$1,000.
14. Indemnification
If your breach of these Terms, your User Content, or your violation of law or third-party rights causes damage to, or a claim against, Vaxal or a third party, you shall indemnify and hold Vaxal harmless from the resulting losses, costs and expenses (including reasonable attorneys’ fees).
15. Changes to these terms
We may revise these Terms; revisions will be posted on this page with an updated date. Continued use after posting constitutes acceptance of the revised Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of Taiwan (R.O.C.). For disputes arising from the Service, unless otherwise mandated by law, the parties agree that the Taiwan Taipei District Court shall be the court of first instance. If you are a resident of the European Union, your personal data is additionally protected under the General Data Protection Regulation (GDPR).
